CNBC goes behind the scenes at the Ford Motor Company to tell the inside story of its astonishing comeback just a few short years after nearly collapsing. You’ll meet the tireless and steel-nerved CEO, Alan Mulally, who bet nearly everything the company had in his quest to steer it back from the brink. More astoundingly, Ford rescued itself without a government bailout, unlike rivals General Motors and Chrysler. Today, Ford appears to be a company with a bright future, but one shadowed by a mountain of debt.

CNBC’s Phil LeBeau was granted remarkable access to the company’s inner workings, introducing viewers to an unlikely pair of engineers charged with breathing new life into a legendary but tarnished Ford nameplate, the Explorer. The program also profiles the Ford family, who unlike many other famous American business clans, have never given up their hold on the family firm.

Ford has always prided itself as a leader in automotive technology. Now, they’re developing technology that allows drivers to connect to their cell phones, digital music players and other devices by using voice commands

However, as electrification options are increasing for consumers, many are looking for information to understand how the new technologies work. To help provide jargon-free answers to electric vehicle questions, Ford has launched a brand new web site, www.fordvehicles.com/technology/electric/. The site offers the basic information consumers need to understand electrified vehicle and technology choices.

The site is part of Ford’s efforts to educate consumers about the range of electrified vehicles and help potential buyers determine which electrified option might best suit their specific driving habits and needs. Consumers who visit the site will be able to review videos, text and cutaway diagrams that illustrate the differences between hybrid, plug-in hybrid and pure battery electric vehicles like the Ford Fusion Hybrid, Ford Focus Electric and planned Ford plug-in vehicles.
The site does not offer opinions on which vehicle technology is better. Rather, it provides clear explanations about how gasoline, hybrid, plug-in hybrid and battery electric vehicles work to help consumers decide which vehicle could be the best option for them.

Electrification is one aspect of Ford’s overall product sustainability strategy that includes a range of fuel-efficient and alternative-fuel technologies designed to offer consumers a portfolio of vehicle choices.

“We know consumers are excited about the variety of electrified vehicles coming to market over the next two years, but we have heard many of them say they don’t truly understand the differences between these options,” said Nancy Gioia, director of global electrification for Ford. “Educating consumers on electrified vehicle options will be crucial to satisfying their needs as they decide whether to buy a hybrid, plug-in hybrid or pure battery electric car.”

The site explains the differences in each type of vehicle, and details the technology that makes them possible, including battery chemistry, charge ports and regenerative braking.

“We want our customers to be informed and educated,” said Gioia. “Most of our customers are used to traditional gasoline engines powering their cars, so this technology is new to them. This site gives them the tools to learn about our electrified vehicles with resources they are most comfortable with – text, graphical fact sheets, videos or a combination of the materials.”

The web site also provides a list of Ford vehicles available with hybrid technology today, including the Ford Fusion Hybrid, which set the standard for fuel economy in midsize sedans with 41 mpg city.

Over the next two years, Ford will deliver at least five new electrified vehicles. The Ford Transit Connect Electric small commercial van arrives in late 2010, the Ford Focus Electric will be introduced in late 2011, followed by two next-generation lithium-ion battery-powered hybrid electric vehicles and a plug-in hybrid electric vehicle in North America in 2012.

Electrified vehicles are one part of Ford’s broader strategy to offer a wide range of environmentally friendly, advanced technology solutions to improve fuel economy and lower CO2 emissions affordably for customers around the world.

Randall Reed Addresses Texas Vehicle Emission Concerns, Provides Free State Inspection to Prestige Pre-Owned Consumers

Remedies Vehicle Emission Inspection Issues

Garland, TX (May 4, 2010) – Well in advance of the recent action taken by The Office of the Attorney General and the Dallas County Clean Air Emissions Task Force, Randall Reed’s Prestige Ford Lincoln Mercury moved swiftly to correct issues with former employees who were engaging in improper vehicle emission reporting procedures.

“We were surprised to learn that some employees had engaged in improper reporting of vehicle emissions,” said Randall Reed, owner of Randall Reed’s Prestige Ford Lincoln Mercury. “When the Office of the Attorney General alerted us of this issue in September of 2009, we took immediate action. Not only did we immediately terminate the employees who were responsible, we made sure that policies were put into place to ensure that it could not happen again.”

In addition, Mr. Reed is inviting all prior Prestige Pre-Owned customers who purchased a vehicle from June 2007 to September 2009, to bring their vehicle to Prestige for a free Texas State Inspection to ensure complete peace of mind.

According to the Office of the Attorney General, improper emissions reporting practices began under prior ownership and management of Prestige Ford Lincoln Mercury. The Office of the Attorney General did not notify Randall Reed of the problem when Mr. Reed purchased the dealership. Instead, the Office of the Attorney General investigated the issue for over three years before informing Randall Reed in September of 2009. Furthermore, the vehicle emissions are reported on a State of Texas computer system that management could not access or monitor.

The Reed Family has zero tolerance for compromising on what they sell to the general public. “We pride ourselves on caring about our customers and the vehicles they drive away in from Prestige,” said Mr. Reed. “Upon learning of this, we began working with the Attorney General’s Office immediately to remedy the situation. Since that time, we have been in full compliance with the law.”

“Had we been made aware of these concerns when we were purchasing Prestige, or if we had a way to monitor the State controlled system, this would have never taken place,” Mr. Reed said. Randall Reed’s Prestige Ford Lincoln Mercury has been working diligently to make sure every vehicle is compliant with Texas and Federal vehicle emissions laws and safe for their consumers.

“With an issue as important as consumer safety and our environment, I hope the Texas Attorney General is more proactive in identifying violations,” Mr. Reed said. “Armed with that information, which helps to serve as a check and balance, we can then ensure that the best practices are being followed for our business, our customers and for our environment.”

First, let’s address your trade-in concerns. You have two choices. You can sell the vehicle and try to get what you owe or trade it in. If you would prefer the ease of trading in your vehicle, there is good news. Your truck, if it’s in good shape, is exactly what dealers want for their pre-owned inventory. Many are looking for vehicles that are two to five years old with 60,000 miles or less.

So, chances are you could actually have some equity in your car. If for some odd reason that isn’t the case, there are typically rebate programs that can help to offset anything you may still owe. The real question is, why drive a vehicle that you are making payments on and paying repair cost on, when you can probably get into a new truck with no repair cost for about the same payment each month?

Ford Fusion is top car; billionaire buys stock

Photos and video Ford Motor Co. scored a hat trick on Tuesday. Motor Trend magazine selected the Ford Fusion midsize sedan as its car of the year. Billionaire financier George Soros revealed his investment arm has purchased $52.9 million in Ford stock. And, the company's stock price hit a 2year high of $9 per share before closing at $8.98 for the day.

"It's really gratifying to see that everybody is appreciating the Ford plan and the progress we are making," Ford Motor Co. President and CEO Alan Mulally said during a crowded celebration Tuesday, while sporting an arm sling because of recent shoulder surgery.

Mulally, who underwent surgery this month to fix a lingering tennis and golf injury, attended Motor Trend's award ceremony at Ford's world headquarters.

Mulally said the progress of his shoulder, like Ford, is ahead of schedule and said the Motor Trend Car of the Year award provides additional evidence of that progress.

About 500 employees attended the emotional ceremony, including hundreds who worked directly on the Fusion and proudly stood up to accept credit from Ford's leaders.

"It means so much to all the Ford employees," said Sonya Nematollahi, who was the engineering supervisor for the Fusion's instrument cluster and has worked for Ford for 19 years. "We had such a dedicated team that worked through Saturdays and Sundays and holidays."

Angus MacKenzie, Motor Trend's editor in chief, said the 2010 Ford Fusion beat a field of nearly two dozen contenders that were put through intensive driving tests.

First introduced in 2005, the Ford Fusion was refreshed this year with a new engine, transmission and better fuel efficiency as well as a redesigned front end and interior.

Derrick Kuzak, Ford's group vice president of global product development, said better fuel efficiency was among the key improvements for the 2010 Ford Fusion.

Because of the improved fuel economy, Mark Fields, Ford's president of the Americas, said the 2010 Fusion has "really done a lot for our image, and it's done a lot for our sales and market share."

Since the redesigned Fusion was introduced in March, it has become the top-selling car built by an American automaker.

n 1964, Motor Trend's Car of the Year award went to the entire Ford lineup, recognizing its combination of design, engineering excellence, and performance. In 1970, we gave the nod to the Ford Torino, which could be ordered in a wide variety of configurations. Forty years ago, buyers could choose from economical, six-cylinder-powered sedans to the dragstrip-ready 429 Super Cobra Jet fastback. These legendary winners had one thing in common: bandwidth. In the 1960s and '70s, this term wasn't yet part of popular lexicon. Today, the 2010 Ford Fusion's impressive bandwidth as a model range was one of the many factors that helped it earn the 2010 Motor Trend Car of the Year award.

Want an economical midsize sedan that doesn't cost much, yet won't bore you to tears? Need to please your greener side with a high-tech hybrid? Fancy a near-sport sedan with AWD, 18-inch rolling stock, and the latest infotainment and electronics? Depending on which model you choose and how many option boxes you tick, the Fusion can be any of the above. Arthur St. Antoine calls the Fusion "a compelling sweep across one of the market's most hotly contested segments."

The original Ford Fusion came to market for the 2006 model year. The basics were there, but the car wasn't fully baked. For 2010, Ford's product teams gave the lineup a soup-to-nuts redevelopment so thorough, it's as if the first-generation car never existed. Only the passenger-shell sheetmetal and other basic architectural elements escaped being redesigned, upgraded, or replaced. Although a four-door sedan is the only body style offered, powertrain choices expand from two to four, and each is new or substantially revised. There are several trim levels offered as well: base S, upmarket SE, luxurious SEL, a separate Sport model, and a Hybrid. Early in this year's COTY program, there were quiet whispers, while heads nodded, about how the Fusion looked, felt, and drove like an entirely new machine.

Saturday, October 24th, families with younger children dashed from decorated truck to truck grabbing spider rings, balloons and candy galore. “It was great fun for everyone,” said Justin Wright, general manager for Prestige Ford Lincoln Mercury. “The kids really had a great time, and so did we!”

Community comes out for fun and to raise funds

Garland High School students and families participated in Ford’s Drive One 4 UR School Program on Saturday, October 24, raising nearly $600 for the school. Event participants from the community came out to Randall Reed’s Prestige Ford Lincoln Mercury to show their support. Twenty-nine people each raised $20 for the school by test-driving a Ford, Lincoln or Mercury vehicle.

Drive One 4 UR School, which launched in 2007, demonstrates Ford Motor Company’s commitment to supporting local communities in good times and in bad. During the past two years, Ford Motor Company has provided more than $1.3 million to high schools that have participated in the program, with further plans to continue this fun, engaging way to help high schools raise money to support their sports and extracurricular activities.

Everyone loved the luxury of this event!

Lincoln’s Star Studded Evening was a smashing good time! Over a hundred guests joined us for an evening of luxury that included a wine and food pairing, visited with our guest author, Andrea Ridout, author of If I Had a Hammer (HarperCollins Publishers) and host of Energize Green on CNN, and saw the new Lincoln MKT.

On Oct. 15, more than 90 people joined Randall Reed’s Prestige Ford Lincoln Mercury in celebrating a Star-Studded Evening and raising money for Susan G. Komen for the Cure. I recently purchased a 2009 For F-150 and I am writing you this email to praise the safety features of that vehicle that saved my life. I was recently at the Texas State Fair and was looking at the new Ford vehicles because we will soon be in the market for my wife a new SUV, and I told one of the representatives my story. They told me that I should send the pictures in to someone at Ford. I did a google search for contact info at Ford, and I am taking a guess at your email address from your name.

On May 9th, I was driving on south Interstate 45 from Dallas to Houston at 5 in the morning. It was pitch black outside and as I came over a small hill in the road, there were 6 cattle standing across the freeway. I was traveling 65-70 miles an hour and I did not have time to react and swerve away from the cows. I hit and killed 3 of the cows. I don't remember much of the wreck, but I do remember that I walked away from it. Once the police arrived on the scene, the were sure that anyone in the vehicle was surely dead. As every new officer and helping passer by came upon us, I was asked if I had checked on the people in the vehicle. They were surprised every time that I told them that I was the only one in the vehicle. They would ask how I was even standing after the wreck. I firmly believe that God put me in an F-150 exactly one week before the accident for a reason. The truck was totaled, and looking at the damage, I can see how anyone would not believe that I walked away from the accident. I had a twisted vertebrae, dislocated ribs, a concussion, and some burns from the airbag. All of that is fixable, and the one thing that I also have is my life. If I would have been in my previous vehicle, they said I would have been decapitated. On my F-150, the hood rolled back over the windshield and shielded anything from coming through it. The frame kept the cockpit in tact and overall, this truck truly performed the safety features to the max. No-one ever thinks of hitting 3 900 lb cows when they think of auto accidents, but your engineers and designers have put features into this truck that will save hundreds of lives, and I am sure glad they saved mine. My wife were married in March and this accident happened only 2 months after our wedding. Now we are expecting our first child, and I will only trust Ford vehicles with my wife and family in the future. I have attached a picture of the truck and I will say, the sales staff was fantastic in assisting me with getting a new 2009 F-150.

Unlike GM and Chrysler, Ford CEO Alan Mulally said his company isn't shutting down a massive number of dealerships.

But Mulally said in some large metropolitan areas, they have a few too many dealers.

"We're continuing to consolidate, which is good for dealers and good for Ford," he said. "We're in pretty good shape here in North Texas. We have a great distribution network."

Mulally came to Randall Reed's Prestige Ford-Lincoln-Mercury in Garland Friday to help celebrate their grand re-opening.

Despite the rough economy, owner Randall Reed spent $6 million renovating his Ford dealership and building a Lincoln-Mercury showroom.

Reed said, "I saw the product. I saw the future with Ford. I thought it was a safe investment."

Ford has steered clear from GM and Chrysler's fate. This week, Ford raised $1.7 billion in cash and in 2006, Mulally secured an $18-billion line of credit.

"I knew the U. S. economy slowing down would affect the worldwide economy. So as we went to the banks. We could at the time because our credit was good, and we had a good business plan," said Mulally. "I decided we needed to make sure we had enough money to fund this transformation of Ford."

But Mulally said he's most concerned about parts suppliers. GM and Chrysler's troubles could hurt them and in turn hit Ford. "Nearly 70 percent of our auto suppliers supply the U. S. system," he said.

Mulally said Ford is accelerating development of new, fuel efficient vehicles. They include a sub-compact called the Fiesta and a new version of its Focus.

He said as the government develops a new energy policy, it's important for policy makers to provide customers with more incentives to buy those vehicles.

"That's what they're talking about and there are many ways to do that. But the most important thing is like anything you're going to make a big improvement on is to involve the consumers," he said.

Now that Ford has enough cash, Mulally said Ford must stay focused on what their customers want so the company can stay on the road to profitability.

At a time when bankrupt Chrysler LLC and struggling General Motors Corp. are closing dealerships and plants, Ford Motor Co. plans to be profitable again in 2011.

"Ford is in a very different place right now," said CEO Alan Mulally, who was in the area on Friday to attend the grand opening of Randall Reed's Prestige Ford and Lincoln Mercury in Garland.

Ford, of course, has felt the pain of the recession just as other automakers have. The company lost a record $14.7 billion last year and another $1.4 billion in the first quarter of this year.

But Mulally, who came to Ford in 2006 from Boeing, where he oversaw the development of the 777 airliner and other projects, made a controversial decision shortly after he arrived to mortgage most of Ford's assets so the company could borrow $23.6 billion.

The funds allowed Ford to operate through the recession without government assistance, and, more important, Mulally said, to continue developing vehicles. Some, such as the new Ford Taurus sedan and Lincoln MKT crossover, begin arriving at dealerships this year.

"We affectionately called that money our home-improvement loan," said Mulally, who didn't much resemble an automaker CEO in his red sweater vest, crisp white long-sleeve shirt and tan slacks.

Ford is already working to retire its considerable debt, he said.

"As we start to generate cash, we will be able to pay off those loans quickly," said Mulally, a youthful 63-year-old Kansas native who's featured in a cover story in this month's Fortune magazine. "We are absolutely not postponing the pain."

Ford has managed to separate itself from GM and Chrysler in perception, industry observers say, and that should serve the company well once the car market regains its health.

"I think Alan has been there long enough that you are seeing the results," said Jeremy Anwyl, chief executive officer of Edmunds.com. "Most of these car companies have good designers. You just have to have someone who will cut them loose."

"The direction they are moving is lifting the entire Ford group up," said Jeff Schuster, executive director of forecasting at J.D. Power and Associates. "They have put good design back into their vehicles."

Mulally, who at one point in the interview leaped up to go hug a 94-year-old woman who had just bought a Focus, said he decided to attend the Prestige grand opening because the dealership chose to invest millions in its facilities in a terrible economy to prepare for better times. That is essentially what Ford is doing, said Mulally, who drives a different car home every night, including a Honda Fit recently.

"If all you do is worry about slashing and cutting, this job is not much fun," he said.

Car shoppers turn increasingly to Ford. It's gaining notice by avoiding bailout help.

Evidence is mounting that the few customers who are shopping for new cars and trucks in this tough market are increasingly turning to Ford Motor Co. because it hasn't asked for federal aid and is perceived as healthiest of the Detroit Three.

Craig Lahti, 32, of Wixom grew up in a "GM family" but purchased a Ford Focus last month.

"It was largely due to the fact that they've managed their business affairs better, in my opinion," Lahti said. "Not only ... did they not take the loans, but just seems that they are heading down the right road."

General Motors Corp. and Chrysler LLC have accepted $17.4 billion in federal loans and are now struggling to meet the terms mandated by the federal government in order to receive additional funding. Ford, in contrast, decided in December not to ask for federal loans, even though it reported a record $14.6-billion loss for 2008.

Since then, Ford executives and dealers have been pushing the message that "Ford is different," which seems to be resonating with customers.

Art Spinella, president of CNW Marketing Research in Bandon, Ore., said his research shows that the percentage of people who list Ford as a top brand to shop increased 12 points during the first quarter of this year compared with last year.

"It indicates that Ford really dodged a bullet," Spinella said.

Spinella said Ford is mostly attracting buyers who previously preferred to buy GM and Chrysler vehicles, but are worried about the possibility of those companies filing for Chapter 11 bankruptcy.

Last Friday, Tustin, Calif.-based AutoPacific said only 3% of Americans participating in a recent online survey were unaware that GM and Chrysler had received billions of dollars in federal loans. It also said 72% of respondents were more likely to buy a Ford vehicle.

Jesse Toprak, executive director of industry analysis for the automotive Web site Edmunds.com, said the number of visitors who shopped for Ford vehicles during the first three months of the year increased 12% compared with the same year-ago period. Meanwhile, the number shopping for GM and Chrysler vehicles declined 19% and 15%, respectively, during the same period.

Despite the positive research about Ford, the company continues to struggle. In March, Ford U.S. sales of new cars and trucks declined 40.8% compared with the same month a year ago. Industry-wide sales, by comparison, showed a decline of 36.8%.

NEWS: Special Tax Break Available for New Car Purchases This Year

WASHINGTON — The Internal Revenue Service announced today that taxpayers who buy a new passenger vehicle this year may be entitled to deduct state and local sales and excise taxes paid on the purchase on their 2009 tax returns next year.
“For those thinking about buying a new car this year, this deduction may give them a little more drive to make their purchase this year,” said IRS Commissioner Doug Shulman. “This deduction enables taxpayers to buy now and get cash back later on their tax returns.”

The deduction is limited to the state and local sales and excise taxes paid on up to $49,500 of the purchase price of a qualified new car, light truck, motor home or motorcycle.

The amount of the deduction is phased out for taxpayers whose modified adjusted gross income is between $125,000 and $135,000 for individual filers and between $250,000 and $260,000 for joint filers.

IRS also alerted taxpayers that the vehicle must be purchased after Feb. 16, 2009, and before Jan. 1, 2010, to qualify for the deduction.

The special deduction is available regardless of whether a taxpayer itemizes deductions on their return. The IRS reminded taxpayers the deduction may not be taken on 2008 tax returns.

Prestige Ford Sends Students to Contest: 32 Advance to State

Once again, LCHS Auto Collision Repair Technology program has proven they are a force to be reckoned with. They attended the SkillsUSA District 6 competition at Texas State Technical College in Waco. Forty three students made the trip to compete with projects they had to repair. The students picked a project that would showcase the skills that they had learned in class. The projects included hoods, motor cycle tanks, fenders, and fabricated metal projects. When the dust had settled, thirty two of the forty three students had advanced to the state contest.

There were two Best-In-Show awards given in the contest. The award for Best Custom was won by Miriam Deutsch and Stefani Barrow. The award for Best Collision Repair was won by Romeo Umana and Andres Alvidrez. Once again Lakeview has shown that they are the school to beat.

Lakeview’s Autobody program is thankful for the support that local industries have given the program. In particular, Randall Reed, new owner of Prestige Ford Lincoln Mercury sponsored seven (7) students in the competition. Instructor Craig Baughman said, “the sponsorship of these students made it possible for them to compete and win in the district competition. These students are now ready to compete in the state contest because of Mr. Reed and Prestige Ford. This experience of competing will stay with them for the rest of their lives.”

“We would also like to thank Armadillo Collision Central and The Body Shop for their donation of paint materials for the projects” said instructor Greg McSwain. “The industry support really helps to defray the cost of the contest.”

The class is looking forward to the state contest which will be held in Corpus Christi in early April. They are confident they can continue the good work and bring back the awards from state.

WASHINGTON -- Foreign brands maintained their domination over Detroit models in the annual evaluations by Consumer Reports, which praised Ford Motor Co. for quality but offered sharp critiques of General Motors Corp. and warned that Chrysler LLC was trailing the industry.

While the rankings may seem less essential in the midst of the worst market for new vehicles in four decades, the results offer a snapshot of a hyper-competitive market offering no reprieve for Detroit's struggling automakers.

The closely watched analysis lauded Honda Motor Co., Toyota Motor Co. and Subaru Motor Co. vehicles as the best in the industry. Its "top picks" list changed little from last year, with the Toyota Highlander displacing the Hyundai Santa Fe as best midsize SUV and the Chevrolet Avalanche replacing the Chevrolet Silverado as best pickup. The Chevy was the only Detroit model among the 10 picks, five of which were Toyotas. Overall, Ford had the best ratings among Detroit companies, with the magazine granting "recommended" grades to 70% of Ford's lineup, compared with 17% of GM's models it tests.

David Champion, senior director of auto testing for Consumer Reports, said Ford's quality on many new models matched or exceed that of Honda and Toyota, while GM was building eye-catching new models. He cited Ford for boring design and GM for inconsistent quality. "I hate to say, but if you could merge the two, with the strength of both, you would have a good product line to really compete against the Japanese," Champion told the Washington Auto Press Association.

As for Chrysler, the news was bleak. The magazine does not recommend a single Chrysler vehicle in its annual automotive issue, and ranks it last among all automakers because of below-average reliability and poor scores on its driving tests. Champion said the new Dodge Ram pickup was the lone model that stacked up well versus the competition. "Chrysler has a long way to go," he said.

Automakers closely watch the magazine's annual auto issue, whose recommendations carry more sway than any other independent source, thanks to more than 7 million print and Internet subscribers. Chrysler used the magazine's quality rankings as a benchmark in its request to the Obama administration for a $5- billion survival loan.

To earn a top pick in a category, the vehicles have to do well in driving tests, have at least average reliability according to owner surveys and garner good crash-test scores. The magazine also requires top picks to offer electronic-stability control either as standard equipment or as a readily available option. Detroit auto executives have long complained that Consumer Reports' judgments lag the improvements in their vehicles, but the performance gap between Detroit and foreign makes has closed little in recent years.

Ford spokesman Bill Collins said the magazine's tests were a "critical benchmark." "The goal now is to distance ourselves from our top competitors and become the sole quality leader," he said. Doug Betts, Chrysler's vice president and chief customer officer, said the company was pleased by the magazine's acknowledgement of the Ram, and vowed that its vehicles would do better in the future. "It will take time to see the results of the changes that we are putting in place to address the reliability and quality concerns of our customers," he said in a statement. GM spokeswoman Janine Fruehan said the company "had its arms around" the problems cited by Consumer Reports. "Our internal data suggest that we're going to be much better, and far more reliable, and we expect that will be seen in the vehicles to come," she said.

Ford Benefits as GM, Chrysler Stumble

Ford Motor Co., which hasn't taken a dime of government bailout loans, is benefiting from the troubles of its two cross-town competitors in Detroit, General Motors Corp. and Chrysler LLC. GM and Chrysler are required to seek cost concessions from the United Auto Workers union under the terms of their federal loans. That allowed Ford to open parallel talks with the UAW, which has a history of working out the same conditions at each company.

This week, Ford and the UAW reached an agreement to cut pay for laid-off workers, ease work rules and eliminate wage increases tied to the cost of living -- two days before GM and Chrysler reached the same deal.

At the same time, while GM and Chrysler have been hit with a steady stream of negative news -- including growing concern they may need to file for bankruptcy protection -- Ford has been having more success at luring away its competitors' customers. Ford's share of the U.S. retail market rose in each of the past four months, while GM's and Chrysler's fell, Ford said.

In January, 45% of Ford buyers turned in cars or trucks of other manufacturers, up from 38% in August, according to Edmunds.com, an auto-shopping Web site. Meantime, the "conquest rate" for GM's Chevrolet was 43% last month, down from 49% in August, and for the Chrysler brand, the conquest rate was 60% last month, down from 67% in August, according to Edmunds. "That's a sign that there is something definitely going on for Ford," said Jesse Toprak, an analyst at Edmunds Inc.

For some domestic-car buyers, the bankruptcy talk has been enough to cause them to defect to Ford. John Grassi of Warren, Mich., recently turned in his leased Dodge Grand Caravan minivan and replaced it with a Ford Fusion.

"The future of GM and Chrysler certainly played a part in my decision," said Mr. Grassi, 50 years old, who works for Warren's parks and recreation department. "Ford seems to be the most sound in terms of staying solvent. I mean, you look at your warranty and you want that warranty to be good." Still, Ford has many challenges. Edmunds's Mr. Toprak said the company is "weighed down" by the perception of many consumers that it is in the same boat as GM and Chrysler. All auto makers are suffering from the recession and credit crunch, which have sent sales plummeting. In January, Ford's sales were down 40%. And the company continues to post huge losses, including $5.5 billion in the fourth quarter, which are eating up its cash. Ford isn't assuming its trend of recent market share increases will continue. "This market provides limited opportunities. You can't will yourself to higher sales," said Ford sales analyst George Pipas.

Ford has told the federal government it doesn't need loans for now, mainly because it raised about $23.5 billion in 2006 by mortgaging almost all of its plants and assets. The company said it had $13.4 billion in cash as of Dec. 31. Its credit lines dried up in January.

So far, GM has won $13.4 billion in loans from the Treasury Department, and this week asked for as much as $16.6 billion more in a revitalization plan it was required to give the government. Chrysler has received $4 billion and has asked for $5 billion more.

The UAW concessions reached this week could save the auto makers hundreds of millions of dollars a year -- for Ford, a windfall from its rivals' struggles. The union agreement "was styled in such a way to benefit all three companies," UAW President Ron Gettelfinger said in an interview Thursday with Detroit radio station WWJ.

The terms of the government loans also require GM, Chrysler and the union to work out a way for the companies to put less cash and more stock into trust funds to cover the cost of health care for retired union workers. That has opened the door for similar talks at Ford, although no agreements have been reached yet.

Ford has been less forthcoming about the state of these negotiations. But Ford Chief Executive Alan Mulally said during an earnings call last month that "I really believe from the ongoing conversations that we are having with all the stakeholders and the U.S. government that as we go through this and we continue to take the actions that we need to take that we will not be disadvantaged."

Meanwhile, Ford seems to have made headway with customers as both GM and Chrysler nearly ran out of money over the past few months. In Centerline, Mich., Bob Thibodeau said he's noticed more owners of other makes shopping at his Ford dealership. "We have certainly seen a lot more cross-shopping in recent months like we've never seen before," he said.

Ford also may be seeing more customer traffic because it just launched a redesigned version of its F-150 pickup truck, the top-selling vehicle in the country, and its finance arm is healthier than the lenders GM and Chrysler work with, GMAC LLC and Chrysler Financial.
